Duncan
Travers Duncan Dip. Eng. (Civil) F.I.E. Aust.
Chairman Non-Executive

Mr Duncan joined the board on 15 April 2005 and was appointed Chairman on 2nd April 2007. Mr Duncan is a civil engineer and a significant shareholder in Felix Resources. He has over thirty years’ experience in project management of large mining and infrastructure development projects in Australia, Indonesia, Papua New Guinea and India.  He was Chairman of White Mining prior to the merger in April 2005.  He was involved in the financing and development of the Piparwar coal mine in India, the North Goonyella coal project in Queensland and the Ulan coal mine in New South Wales. Mr Duncan is chairman of the Nomination and Remuneration committees and a member of the Audit Committee.

 
Flannery
Brian Flannery, B.Eng. (Mining)
Managing Director

Mr Flannery joined the board on 15 April 2005 as Executive Director. Mr Flannery is a mining engineer and a significant shareholder in Felix Resources. Mr Flannery has more than thirty years’ experience in the development, engineering, construction, operation and management of Open-Cut and Underground mining projects in Australia and overseas. He was previously General Manager of the Ulan Coal Joint-Venture and had key roles in the development of the Piparwar coal mine in India, the North Goonyella coal project in Queensland and the Ulan Mine in New South Wales. He was Managing Director of White Mining prior to the merger in April 2005, and was appointed Managing Director of Felix Resources on 21 March 2006.

 
John Kinghom
John Kinghorn
Non-Executive Director

Mr Kinghorn joined the Board on 1 September 2005. Mr Kinghorn qualified as a chartered accountant with Price Waterhouse & Co Sydney and London before becoming General Manager of Development Finance Corporation Limited, until 1979. Mr Kinghorn was the founder of Allco Finance Group Limited - a specialist aircraft, shipping and rolling stock lessor.  He was also founder and major shareholder of RentWorks Limited - an operating lessor of office, medical and gaming equipment. In 1991, he founded the RAMS Home Loans group. Mr Kinghorn meets the ASX test as an independent director. He is a member of the Audit Committee and the Nomination and Remuneration committees.

 

Hans Mende MBA
Non-Executive Director

Hans Juergen Mende co-founded American Metals & Coal International, Inc.(AMCI) in 1986 and has been its Chief Operating Officer and President since 1986. Mr Mende worked with the Thyssen Group, one of the largest German multinational companies with interests in steel making and general heavy industrial production from 1968 to 1986. He served as President of Thyssen Group. He has experience in coal mine development and coal marketing. Mr. Mende has been a Director of Felix Resources since October 29, 2007. He has been Director of ANR Holdings since March 2003 and Quintana Maritime Ltd., since April 2005. He serves as a Director of MMX Mineracao E Metalicos SA, OKD in the Czech Republic, AMCI Australia and Whitehaven Pty Ltd. in Australia. Mr. Mende holds an MBA from Cologne University in Germany in 1967.


 
Vincent O’Rourke   B. Econ.
Non-Executive Director
 
Mr O’Rourke was appointed a Non-Executive Director on 2 August 2007. Mr O’Rourke brings over 40 years of corporate and railway industry experience spanning operations, finance and business management. In 1990 Mr O’Rourke was appointed Queensland commissioner for railways and was the CEO of Queensland Rail (QR) from 1991 to 2000. As CEO of QR, Mr O’Rourke oversaw a 10 year program of reform and modernization including corporatisation in 1995. Mr O’Rourke is presently Chairman of the Queensland Workplace Health and Safety Board, Chairman of the Great Australian Trunk Railway System Pty Ltd, Chairman of Rail Innovation Australia Pty Ltd and Non-Executive Director of Bradken Limited, a listed company. Mr O'Rourke meets the ASX test as an independent director.  He accepted the role as Chairman of the Audit Committee on 2 August 2007 and was appointed as a member of the Nomination Committee on 27 August 2007.

 

Process for selection and appointment of directors
The Company has adopted the following process for the selection and appointment of Directors:
  1. Committee: Appoint a Nomination Committee of three directors (including the Chairman of the Board who will chair the Committee) to lead the process.
  2. Annual Report reference: Identify the Committee members in the annual report
  3. Role description & capability statement: Before any appointment, evaluate the balance of skills, knowledge and experience on the Board and, in light of this, prepare a description of the role and capabilities required for a particular appointment
  4. Annual Report statement: State in the annual report the activities of the Committee, the process used for appointments and provide an explanation if open advertising or external advice has not been used
  5. Confirm time availability: Intended directors confirm time availability for the role
  6. Letter of Appointment: On appointment, non-executive directors receive a formal letter of appointment setting out relevant matters.
  7. Explain basis for appointment: The Board explains why it recommends an appointment when seeking shareholder approval.
